1.Platform Information / 平台信息 This Platform is operated by Ourrea Holdings, Inc. (“Company”) and branded as the Local Services Platform (“Platform”). The Platform is accessible at: https://local.ourrea.com/. 本平台由 Ourrea Holdings, Inc.（以下简称“公司”）运营，称为同城服务平台。官方网站：https://local.ourrea.com/。

2.Nature of the Platform / 平台性质 The Platform is an information-sharing and business-connection platform only. It enables users to discover, communicate with, and obtain referrals to independent third-party service providers. The Company does not provide any actual services and is not a party to any transaction, contract, or agreement between users and service providers. 本平台仅为信息展示与业务对接平台，协助用户发现、联系第三方服务商。公司不提供任何实际服务，亦不参与用户与服务商之间的任何交易、合同或协议。

3.Independent Contractors / 独立承包人 Certain platform functions may be performed by independent contractors. These contractors are not employees or agents of the Company and have no authority to bind the Company. The Company is not responsible for the acts, omissions, or statements of independent contractors. 平台相关的部分功能可能由独立承包人履行。独立承包人并非公司的员工或代理人，亦无权代表公司。除法律另有强制性规定外，公司不对其行为、疏忽或陈述承担责任。

4.No Verification or Endorsement / 不作核实或背书 The Platform does not verify, endorse, or warrant the qualifications, licenses, insurance, or integrity of any user or service provider, nor the quality, safety, or accuracy of any information posted. Users engage with others at their own risk. 平台不对用户或服务商的资质、执照、诚信度以及所发布信息的准确性进行核实或担保。用户应自行承担与之互动的风险。

5.General Limitation of Liability / 一般责任限制 To the maximum extent permitted by law, the Company shall not be liable for any disputes, losses, damages, or injuries arising from services provided by third parties or interactions between users. The Company’s total liability shall not exceed the fees paid by the user to the Company in the preceding 12 months, or USD $0 if no fees were paid. 在法律允许的最大范围内，公司不对第三方服务或用户互动产生的纠纷、损失或人身伤害承担责任。公司的累计赔偿责任不超过用户在过去12个月内支付的费用；如未付费，则为0美元。

6.Investment Disclaimer / 投资免责声明 The Platform is for informational purposes only. The Company is not a registered broker-dealer or investment advisor. We do not provide investment, tax, or legal advice. Any "investment projects" shared by users are not endorsed by the Company; users are solely responsible for their own due diligence. 本平台仅供信息分享。公司非注册经纪人或投资顾问，不提供投资、税务或法律建议。用户分享的任何“投资项目”均不代表公司立场，用户须自行进行尽职调查。

7.Offline Events & Food Safety / 线下活动与食品安全 Offline activities organized by local partners or volunteers are not led by the Company. The Company is not responsible for food safety, allergens, or physical injuries occurring at these events. Participation is at the user's own risk. 由本地伙伴或志愿者组织的线下活动并非由公司主导。公司不对活动中的食品安全、过敏原或人身伤害负责。用户自愿参加并自行承担风险。

8.User Obligations & Conduct / 用户义务与行为规范 Users agree to provide accurate information and comply with all applicable laws. Users shall not use the Platform for fraudulent or unlawful purposes. Users are solely responsible for their conduct on and off the Platform. 用户须提供真实信息并遵守法律。严禁将平台用于欺诈或违法目的。用户须对其在平台内外的行为及后果承担全部责任。

9.Indemnification / 补偿条款 Users agree to indemnify and hold harmless the Company from any claims, losses, or legal fees arising from their use of the Platform, their interactions with others, or their violation of these Terms. 用户同意，若因其使用平台、与他人互动或违反本条款而导致公司面临诉讼或损失，用户将赔偿公司相关的损失及律师费用。

10.Intellectual Property / 知识产权 All Platform content, branding, and software are owned by the Company. Users grant the Company a license to use and display any content they submit for the purpose of operating the Platform. 平台所有内容、品牌和软件归公司所有。用户授予公司在其提交的内容范围内用于平台运营的许可。

11.Suspension & Termination / 暂停与终止 The Company reserves the right, at its sole discretion, to suspend or terminate user access or remove content at any time, with or without notice. 公司有权自行决定随时暂停、终止用户访问或删除内容，无需事先通知。

12.Arbitration & Class Action Waiver / 仲裁与集体诉讼豁免 ANY DISPUTE SHALL BE SETTLED BY BINDING INDIVIDUAL ARBITRATION UNDER AAA RULES. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. 任何争议均应通过具有法律约束力的个人仲裁解决。您同意放弃参加集体诉讼或集体仲裁的权利。

13.Governing Law & Privacy / 适用法律 These Terms are governed by the laws of the State of Delaware, USA. By using the Platform, you agree to our Privacy Policy located at: https://www.ourrea.com/privacy-policy. In case of inconsistency, the English version prevails. 本条款受美国特拉华州法律管辖。
